Terms of Service

ArmoryFlow is a product and service provided by Circle Square Inc. d/b/a ArmoryFlow ("Company," "ArmoryFlow," "we," "us," or "our"). These Terms govern use of the ArmoryFlow Service by the dealer or other authorized user ("you" or "Customer").
These Terms incorporate the Privacy Policy, Acceptable Use Policy, Refund Policy, and applicable addenda, including the Storefront Operator Agreement, Payment Processing Addendum, Marketplace Terms, and Compliance Records Addendum.
1. Acceptance of Terms
By creating an account, accessing, or using ArmoryFlow (the "Service"), you agree to these Terms of Service ("Terms"), the Acceptable Use Policy, the Privacy Policy, the Refund Policy for SaaS subscription fees, and any applicable addenda.
If you do not agree, do not use the Service.
If you accept on behalf of a business entity, you represent that you have authority to bind that entity.
We may update these Terms from time to time. For material changes, we will provide notice by email or in-product notice at least thirty (30) days before the changes take effect, unless a shorter period is required by law or needed to address an urgent security or legal risk. Your continued use after the effective date constitutes acceptance.
2. Description of Service; Platform Role
2.1 Description of the Service
ArmoryFlow provides software-as-a-service tools for licensed firearm retailers. Features may include inventory management, product listings, catalogs, hosted storefronts, embeddable widgets, marketplace tools, point-of-sale software, photo companion tools, distributor integrations, pricing helpers, tax-calculation settings, payment orchestration, reporting, and related technology.
2.2 Technology platform only
Except for ArmoryFlow's own SaaS subscription billing to you, ArmoryFlow is not the seller or merchant of record for firearms, ammunition, magazines, parts, or accessories that you advertise or sell using the Service.
2.3 No professional advice
ArmoryFlow is not your lawyer, accountant, tax advisor, or compliance consultant. Nothing in the Service is legal, tax, accounting, or regulatory advice.
2.4 No dealer role in your sales
ArmoryFlow is not a Federal Firearms Licensee with respect to your retail sales to your customers, is not a party to transactions between you and your customers, and does not conduct background checks or complete ATF Form 4473 as the transferring dealer for your sales.
3. Eligibility; Accounts; FFL Verification
3.1 Eligibility
You must:
- Be at least 18 years old.
- Be a legally authorized representative of a firearms dealership or business.
- Hold all federal, state, and local licenses required for your firearms business, including a valid FFL where required.
- Comply with all applicable laws.
3.2 Account responsibilities
You are responsible for account credentials, all activity under your account, promptly notifying us of unauthorized use, and keeping account information accurate and current.
3.3 FFL verification
- The Service is designed for licensed FFL holders and their authorized staff.
- You must submit FFL information for verification, including number, type, expiration, and related details we request.
- We may verify FFL information against ATF or other sources. Verification is for platform access control only and is not a warranty to you or any third party that your license is valid for any particular transaction.
- Unverified, expired, inactive, or revoked FFL status may result in limited or suspended access, including loss of public storefront or marketplace visibility.
- You must keep FFL information current and notify us promptly of changes, expiration, or revocation.
- Misrepresentation of license status may result in immediate termination and reporting to authorities.
4. License Grant and Restrictions
4.1 License
Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes.
4.2 Restrictions
You will not:
- Copy, modify, distribute, sell, or lease the Service.
- Reverse engineer or attempt to extract source code except as permitted by law.
- Remove proprietary notices.
- Use the Service for unlawful purposes.
- Interfere with the Service or attempt unauthorized access.
- Scrape or use bots without written permission.
- Resell or sublicense the Service without authorization.
5. User Responsibilities and Compliance
5.1 Federal, state, and local firearms laws
You are solely and exclusively responsible for compliance with all firearms, ammunition, and related laws applicable to your business, including without limitation:
- Federal law, including the Gun Control Act, the National Firearms Act, ATF regulations, and applicable export controls, including ITAR and EAR.
- State and local laws in every jurisdiction where you advertise, display, offer, sell, ship, transfer, or deliver firearms, ammunition, magazines, parts, or accessories, including age restrictions, waiting periods, assault-weapon and feature bans, magazine-capacity limits, ammunition restrictions, permitting rules, roster or microstamping rules, and advertising or display restrictions.
- All licensing requirements, including FFL and any required state, local, dealer, seller, or SOT licenses.
- Background checks, Form 4473 or successor forms, NICS or state point-of-contact checks, transfer documentation, and acquisition-and-disposition or bound-book recordkeeping.
- Prohibitions on straw purchases, transfers to prohibited persons, and unlawful interstate transfers.
Enabling or using any feature of the Service does not make an unlawful advertisement, sale, or transfer lawful.
5.2 Content accuracy and advertising
You are responsible for the accuracy of listings and information, compliance with advertising and consumer-protection laws, ensuring descriptions do not violate law, and removing prohibited or illegal items.
5.3 Tax, e-commerce, and configuration responsibility
- Tax and e-commerce tools are technology conveniences only.
- You alone are responsible for knowing and complying with sales tax, use tax, excise tax, marketplace, consumer-protection, advertising, shipping, and other e-commerce laws in every jurisdiction where you sell, ship, advertise, or have nexus.
- You alone decide whether to enable tax collection or other features and whether your settings are correct and sufficient.
- You alone are responsible for collecting, remitting, filing, and reporting taxes.
- Any under-collection, over-collection, misconfiguration, omission, incorrect rate, wrong jurisdiction, or other error arising from your settings or use of the Service is solely your responsibility.
- ArmoryFlow does not validate that your configuration is correct and does not file, remit, or report taxes on your behalf. ArmoryFlow does not intend to act as a marketplace facilitator or tax collector for your transactions unless required by law and expressly agreed in writing.
- Additional storefront terms appear in the Storefront Operator Agreement and Payment Processing Addendum.
5.4 Compliance tools are conveniences only
The Service may include tools related to regulated activity, including state-restriction or NFA filters, FFL lookup or verification helpers, MAP or pricing display modes, tax or nexus calculators, waiting-period helpers, POS prompts for Form 4473 confirmation or NICS results, A&D or compliance record mirrors, marketplace deal or FFL-selection workflows, and help articles.
You agree that:
- These tools are not legal advice and are not guaranteed complete, current, or correct.
- Third-party or user-supplied data used by filters may be stale, incomplete, or wrong.
- You remain solely responsible for reviewing what you advertise and sell and for refusing unlawful transactions.
- Form 4473, NICS, waiting-period, and A&D features are workflow and records aids. You remain the licensee, and ArmoryFlow is not your legal system of record unless a written agreement expressly states otherwise.
- Help content and UI copy are general information only.

5.5 Distributor data and MAP
If you connect distributor integrations, you are responsible for reviewing auto-populated inventory, configuring filters, and complying with manufacturer MAP policies and distributor agreements. MAP and pricing tools are conveniences only and are not guaranteed accurate or timely.
6. Data Ownership and Intellectual Property
6.1 Your data
You retain ownership of data you upload ("User Content"). You grant us a limited license to store, process, and display User Content to provide the Service, create anonymized or aggregated analytics, and display partner marketing within the Service as described in the Privacy Policy.
6.2 Our intellectual property
The Service, including software, designs, text, graphics, logos, and trademarks, is owned by ArmoryFlow or its licensors. No ownership rights transfer to you by use.
7. SaaS Payment Terms
Certain features require subscription fees, billed in advance monthly or annually, and non-refundable except as stated in the Refund Policy.
Subscriptions renew automatically unless cancelled before renewal. You authorize charges to your payment method on file.
We may change prices with at least 30 days' notice, and those changes apply to subsequent billing cycles.
Failed payments may result in suspension or termination. You remain responsible for amounts owed.
SaaS subscription billing is separate from consumer payments processed on your merchant account.
8. Third-Party Services
The Service may integrate with third parties, including payment processors, distributors, analytics providers, hosting providers, and FFL data sources. Your use of third-party services is subject to their terms. We are not responsible for third-party outages, data errors, or policy changes.
9. Termination
9.1 By you
You may cancel through account settings or by contacting support. Cancellation takes effect at the end of the then-current billing period unless otherwise stated.
9.2 By us
We may suspend or terminate immediately if you violate these Terms or law, your account is inactive for more than 12 months, we suspect fraud, abuse, or illegal activity, legal process requires it, you fail to pay fees, or your FFL cannot be verified or is revoked.
9.3 Effect
Upon termination, access ends, we will retain data for 30 days to allow export unless law requires longer or shorter retention or sooner deletion is required for legal risk, and thereafter we may delete data. You remain responsible for fees incurred before termination. Sections 5, 6.2, 9.3, 10, 11, 12, and 13 survive.
10. Disclaimers and Limitation of Liability
10.1 As is
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No guarantee
We do not guarantee uninterrupted, secure, or error-free service, accurate or reliable results, correction of all errors, or that the Service will meet your requirements.
10.3 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARMORYFLOW AND CIRCLE SQUARE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
10.4 Firearms, tax, and compliance tools
WITHOUT LIMITING THE FOREGOING, WE SHALL HAVE NO LIABILITY FOR ANY TAX, PENALTY, INTEREST, ASSESSMENT, AUDIT, FINE, ENFORCEMENT ACTION, OR OTHER LOSS ARISING FROM YOUR TAX OR E-COMMERCE CONFIGURATION, YOUR FAILURE TO COMPLY WITH ANY FEDERAL, STATE, OR LOCAL FIREARMS, AMMUNITION, ADVERTISING, SHIPPING, TRANSFER, OR RECORDKEEPING LAW, YOUR RELIANCE ON ANY FILTER, MAP TOOL, TAX CALCULATOR, FFL LOOKUP, WAITING-PERIOD HELPER, 4473 OR NICS PROMPT, COMPLIANCE RECORD FEATURE, HELP ARTICLE, OR RELATED FEATURE, OR ANY STALE, INCOMPLETE, OR INACCURATE THIRD-PARTY OR USER-SUPPLIED DATA USED BY THOSE FEATURES.
11. Indemnification
You will indemnify, defend, and hold harmless Circle Square Inc., ArmoryFlow, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any law or regulation.
- Your User Content.
- Your advertising, offer, sale, shipment, transfer, or recordkeeping of firearms, ammunition, magazines, parts, or accessories.
- Your tax, nexus, rate, exemption, or other configuration, including under-collection, over-collection, misconfiguration, failure to file, or failure to remit.
- Any claim by a taxing authority, consumer, or third party arising from taxes charged or not charged on transactions conducted through the Service.
- Your use of or reliance on any compliance tool, filter, Form 4473 or NICS workflow aid, waiting-period helper, FFL lookup, MAP tool, or related feature.
- Any claim that your User Content infringes third-party rights.
12. Dispute Resolution
12.1 Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
12.2 Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration shall be Radnor, Pennsylvania. Each party bears its own costs unless the arbitrator awards otherwise.
12.3 Class action waiver
Proceedings will be individual only, with no class, consolidated, or representative actions.
12.4 Injunctive relief
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for intellectual property or unauthorized access claims.
13. General
13.1 Entire agreement
These Terms and incorporated policies or addenda are the entire agreement regarding the Service and supersede prior negotiations on the same subject.
13.2 Order of precedence
For storefront matters, the Storefront Operator Agreement controls over these Terms to the extent of conflict. For payment-credential matters, the Payment Processing Addendum controls. For marketplace consumer or seller matters, the Marketplace Terms control. For POS compliance-record features, the Compliance Records Addendum controls.
13.3 Severability; waiver; assignment; force majeure
Standard severability and non-waiver principles apply. You may not assign without our consent, and we may assign. We are not liable for delays caused by events beyond our reasonable control.
