Storefront Operator Agreement

This Storefront Operator Agreement ("SOA") supplements the ArmoryFlow Terms of Service and governs your use of ArmoryFlow's hosted storefront, checkout, embeds tied to storefront commerce, and related e-commerce features (collectively, the "Storefront").
ArmoryFlow means Circle Square Inc. d/b/a ArmoryFlow. "Operator" or "you" means the FFL-licensed entity activating the Storefront. This agreement should be read together with the Payment Processing Addendum, Storefront Purchase Terms, Privacy Policy, and Acceptable Use Policy.
1. Agreement and Acceptance
This SOA supplements the ArmoryFlow Terms of Service and governs your use of ArmoryFlow's hosted storefront, checkout, embeds tied to storefront commerce, and related e-commerce features.
By activating a Storefront, enabling checkout, connecting a payment method for Storefront sales, or otherwise using Storefront features, you agree to this SOA, the Terms, Privacy Policy, Acceptable Use Policy, the Payment Processing Addendum, and the Storefront Purchase Terms as shown to consumers.
2. Definitions
- Consumer means any individual who accesses your Storefront or places an order.
- Distributor Inventory means product data sourced from third-party distributors and displayed on your Storefront.
- Storefront Content means all content on your Storefront, including Distributor Inventory, branding, pricing, descriptions, and images.
- Supported Processors means payment processors ArmoryFlow supports from time to time for Storefront checkout, which may include Authorize.net, Payroc, EMG by Deluxe, and others we enable.
3. Role of ArmoryFlow
3.1 Technology service provider only
ArmoryFlow provides Storefront hosting and e-commerce technology. ArmoryFlow does not:
- Sell, offer to sell, or transfer firearms, ammunition, or accessories.
- Act as a dealer, distributor, broker, or agent in any firearms transaction.
- Set or control your retail prices, which remain under your control.
- Conduct background checks, verify buyer eligibility, or process Form 4473 as the transferring dealer.
- Select, curate, or endorse specific products.
- Guarantee accuracy, completeness, or timeliness of Distributor Inventory.
- Process refunds or returns as the merchant, unless a feature expressly says otherwise.
- Provide legal, tax, or regulatory advice.
3.2 Merchant of record
You are the seller and merchant of record for Storefront transactions. Your consumer's card statement should reflect your business or your processor's descriptor for your account, not ArmoryFlow as seller.
3.3 Distributor Inventory auto-population
Your Storefront may automatically display Distributor Inventory based on your integrations and filters. This is a convenience. You alone must review displayed products for legality in every accessible jurisdiction, configure filters, monitor MAP and manufacturer rules, and promptly remove products that should not be displayed.
3.4 Data timeliness
Distributor data may sync periodically and become stale. ArmoryFlow has no liability for transactions or decisions based on stale data.
4. Operator Responsibilities
4.1 Regulatory compliance
You are solely responsible for compliance with all applicable laws, including:
- Federal firearms laws, including the GCA, NFA, and ATF regulations.
- State and local firearms laws in every jurisdiction where your Storefront is accessible or where you ship or transfer products, including advertising, display, magazine, ammo, age, waiting-period, and product bans.
- Advertising and consumer-protection laws.
- Tax obligations, including sales, use, and excise tax duties.
- Export controls, including ITAR and EAR where applicable.
- Privacy and data protection obligations for Consumer data collected through your Storefront, where you remain the business or controller for the customer relationship.
4.2 MAP pricing
MAP tools are conveniences based on third-party data and are not guaranteed accurate, complete, or timely. You alone must comply with manufacturer MAP agreements. ArmoryFlow is not a party to those agreements.
4.3 Shipping and transfer
You alone must ship firearms only to properly licensed FFLs for transfer, verify legal ship-to and receive-in rules, comply with carrier rules, complete FFL-to-FFL documentation, and ensure the receiving FFL performs required checks before release to the Consumer.
4.4 Customer service and disputes
You alone handle customer service, refunds, returns, exchanges, warranties, complaints, and chargebacks on your merchant account.
4.5 Storefront Content
You are solely responsible for all Storefront Content, including auto-populated Distributor Inventory, because you activate the Storefront, configure settings, can review and filter products, and present the Storefront as your business.
4.6 Dealer-authored policies
You must publish accurate Terms of Use, Privacy, Shipping, and Returns policies, plus any required regulated-goods policies, for your Storefront. Placeholder or unreviewed policies remain your responsibility.
5. Sales Tax, E-Commerce, and Configuration
Tax and related tools are technology conveniences only. We are not lawyers, accountants, or tax advisors.
By enabling tax or e-commerce features, you agree that:
- You alone know the tax and e-commerce rules where you sell or have nexus.
- You alone choose whether to enable tax, which nexus states to add, and which rates to enter.
- Misconfiguration, under-collection, over-collection, failure to file, or failure to remit is solely your responsibility.
- ArmoryFlow does not determine your nexus, validate your settings, or guarantee calculated amounts satisfy the law.
- ArmoryFlow does not file, remit, or report taxes on your behalf.
- Tools may have limitations, including state-level rates without automatic locality breakdown.
- Help articles and UI copy are general information only.
If you enable tax collection, you represent you have obtained or will obtain advice from your own qualified tax professional as needed and will keep settings current.
ArmoryFlow does not intend to act as a marketplace facilitator collecting tax for you unless required by law and expressly agreed in writing.
6. Automated Filters Are Not Legal Clearance
The Storefront may filter or gate products using distributor state-restriction flags, NFA or SOT settings, MAP rules, destination state, receiving FFL state, or similar signals.
These tools are incomplete conveniences. A product appearing in your catalog, passing a filter, or completing checkout does not mean the advertisement or sale is lawful.
You must independently know and follow applicable laws, configure filters, review inventory, and remove or block unauthorized products.
ArmoryFlow has no liability if a filter misses a restricted item or relies on stale data.
7. Payment Processing
Payment processing is governed by the Payment Processing Addendum. By activating Storefront checkout or providing processor credentials or boarding information, you agree to that addendum.
8. Consumer-Facing Terms
ArmoryFlow displays Storefront Purchase Terms and your published policies to consumers. Those terms establish that the consumer purchases from you, not ArmoryFlow, that you are merchant of record, and that disputes and returns are between you and the consumer.
You agree to honor that allocation and not contradict it.
9. Custom Domains
If you use a custom domain, you agree that:
- You own or are authorized to use the domain.
- You handle registration and DNS.
- SSL provisioning may be assisted by ArmoryFlow or Cloudflare, but uptime is not guaranteed.
- All SOA terms still apply.
- Content on the domain remains your responsibility.
10. Indemnification
In addition to the Terms, you will indemnify, defend, and hold harmless Circle Square Inc. and its officers, directors, employees, agents, and affiliates from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:
- Operation of your Storefront.
- Any Consumer transaction.
- Any product sold, displayed, or advertised.
- Any firearms-law violation arising from Storefront operations.
- MAP violations.
- Consumer complaints or disputes.
- Any tax liability, penalty, interest, assessment, audit, or fine, including from configuration or misconfiguration.
- Failure to review or filter Distributor Inventory.
- Custom-domain use.
- Payment disputes, chargebacks, or fraud on your merchant account.
- Reliance on filters or compliance tools as legal clearance.
11. Limitation of Liability
IN ADDITION TO THE TERMS, ARMORYFLOW AND CIRCLE SQUARE INC. SHALL HAVE NO LIABILITY FOR INACCURATE, INCOMPLETE, OR STALE DISTRIBUTOR INVENTORY DATA, ANY LAW VIOLATION ARISING FROM DISPLAY OR SALE OF PRODUCTS ON YOUR STOREFRONT, ANY CONSUMER CLAIM ARISING FROM A STOREFRONT TRANSACTION, LOSS OF MANUFACTURER OR DISTRIBUTOR RELATIONSHIPS OR MAP ISSUES, ANY TAX LIABILITY, PENALTY, INTEREST, ASSESSMENT, AUDIT, OR FINE ARISING FROM STOREFRONT TRANSACTIONS OR YOUR TAX OR E-COMMERCE CONFIGURATION, ANY CLAIM THAT WE FAILED TO PROVIDE LEGAL, TAX, OR COMPLIANCE ADVICE, OR ANY FAILURE OF AN AUTOMATED FILTER, STATE-RESTRICTION FLAG, NFA GATE, MAP TOOL, FFL LOOKUP, OR SIMILAR FEATURE TO PREVENT AN UNLAWFUL ADVERTISEMENT, OFFER, OR SALE.
12. Suspension and Termination
In addition to rights in the Terms, we may immediately suspend or disable your Storefront if we receive notice of legal action related to your Storefront, reasonably believe it is used to violate law, your FFL status changes, expires, or is revoked, your merchant account is suspended, we receive a regulator, distributor, or manufacturer complaint, or you fail to respond to Consumer disputes timely.
13. Representations
By activating a Storefront, you represent that:
- You hold a valid FFL and required state or local licenses.
- You are authorized to conduct firearms commerce where your Storefront operates.
- You understand applicable laws.
- You will regularly review displayed products.
- You will configure appropriate filters.
- You have authority to bind your entity.
- You will maintain customer-service capability.
- You will comply with your processor's terms and PCI obligations applicable to you.
- You alone own tax and firearms compliance.
- You will not treat filters or tools as legal clearance.
14. General
This SOA is incorporated into the Terms. On Storefront matters, this SOA controls over the Terms to the extent of conflict.
We may modify this SOA as described in the Terms' modification clause.
Governing law and dispute resolution follow the Terms.
