Storefront Operator Agreement

This Storefront Operator Agreement ("SOA") is a binding addendum to the ArmoryFlow Terms of Service and governs your use of ArmoryFlow's hosted storefront and e-commerce features. By activating a storefront, you agree to all terms herein in addition to the Terms of Service, Privacy Policy, and Acceptable Use Policy.

ArmoryFlow is a product and service provided by Circle Square Inc. ("Company," "we," "our," or "us"), a corporation organized under the laws of the State of Delaware.

1. Definitions

  • "Storefront" means the white-label, consumer-facing e-commerce website hosted by ArmoryFlow on your behalf at a designated URL path (e.g., /storefront/[your-slug]) or custom domain, displaying products available for purchase from your dealership.
  • "Operator" or "You" means the FFL-licensed entity that has activated a Storefront through ArmoryFlow.
  • "Consumer" means any individual who accesses your Storefront and/or places an order through it.
  • "Distributor Inventory" means product listings, descriptions, images, pricing data, and availability information sourced from third-party firearms distributors (including but not limited to RSR Group, Lipsey's, Davidson's, Sports South, and Zanders) and displayed on your Storefront.
  • "Storefront Content" means all content displayed on your Storefront, including but not limited to Distributor Inventory, your business branding, pricing (including markup), product descriptions, images, and any other material visible to Consumers.

2. Role of ArmoryFlow

2.1 Technology Service Provider Only

ArmoryFlow provides the Storefront as a technology hosting and e-commerce platform service. ArmoryFlow is not a party to any transaction between you and any Consumer. ArmoryFlow does not:

  • Sell, offer to sell, or transfer any firearms, ammunition, or accessories
  • Act as a dealer, distributor, broker, or agent in any firearms transaction
  • Set, recommend, or control the retail prices displayed on your Storefront (you control your markup percentage)
  • Conduct background checks, verify buyer eligibility, or process Form 4473
  • Select, curate, or endorse specific products for display on your Storefront
  • Guarantee the accuracy, completeness, or timeliness of Distributor Inventory data
  • Process, handle, or guarantee refunds, returns, or exchanges on your behalf
  • Provide legal, tax, or regulatory compliance advice

2.2 Distributor Inventory Auto-Population

You acknowledge and agree that your Storefront may automatically display Distributor Inventory sourced from third-party distributors based on your integration settings and filter configurations. This auto-population is a technology convenience feature. You are solely responsible for:

  • Reviewing the products displayed on your Storefront to ensure compliance with all applicable federal, state, and local laws in every jurisdiction where your Storefront is accessible
  • Configuring appropriate inventory filters to exclude products that you are not authorized to sell or that are prohibited in your operating jurisdictions
  • Monitoring your Storefront for products that may violate manufacturer agreements, MAP policies, or applicable laws
  • Promptly removing or hiding any product that you determine should not be displayed

2.3 Data Timeliness Disclaimer

Distributor Inventory data is synchronized periodically (typically nightly) from third-party sources. Between synchronization cycles, product availability, pricing, MAP prices, and restriction data may become stale or inaccurate. ArmoryFlow does not guarantee real-time accuracy of any Distributor Inventory data. You accept the risk of data lag and agree that ArmoryFlow has no liability for transactions, displays, or decisions made based on stale data.

3. Operator Responsibilities

3.1 Regulatory Compliance

As the Operator of your Storefront, you are solely and exclusively responsible for compliance with all applicable laws, rules, and regulations, including but not limited to:

  • Federal Firearms Laws: All applicable provisions of the Gun Control Act (18 U.S.C. Chapter 44), the National Firearms Act (26 U.S.C. Chapter 53), and all ATF regulations
  • State and Local Firearms Laws: All state and local laws governing the sale, display, advertisement, transfer, and shipment of firearms, ammunition, and accessories in every jurisdiction where your Storefront is accessible or where you ship products
  • Advertising and Display Laws: All laws governing how firearms and related products may be advertised, displayed, or offered for sale in each jurisdiction, including but not limited to assault weapons bans, magazine capacity restrictions, ammunition restrictions, and product-specific prohibitions
  • Consumer Protection Laws: All applicable FTC regulations, state consumer protection statutes, truth-in-advertising requirements, and pricing transparency laws
  • Tax Obligations: All applicable sales tax, use tax, excise tax, and other tax obligations arising from transactions on your Storefront
  • Export Controls: All applicable ITAR (International Traffic in Arms Regulations) and EAR (Export Administration Regulations) requirements
  • Privacy and Data Protection: All applicable data protection laws with respect to Consumer data collected through your Storefront

3.2 MAP Pricing Compliance

ArmoryFlow provides automated Minimum Advertised Price ("MAP") enforcement as a convenience feature based on data provided by third-party distributors. You acknowledge and agree that:

  • MAP enforcement is not guaranteed to be accurate, complete, or timely
  • MAP prices may change between data synchronization cycles
  • You are solely responsible for ensuring your advertised prices comply with all manufacturer MAP policies and agreements
  • ArmoryFlow is not a party to any MAP agreement between you and any manufacturer or distributor
  • ArmoryFlow has no liability for MAP violations that occur due to data lag, inaccurate distributor data, or any other cause

3.3 Shipping and Transfer Compliance

You are solely responsible for:

  • Ensuring all firearms are shipped only to properly licensed FFL dealers for transfer
  • Verifying that products can legally be shipped to and received in the destination state
  • Complying with all carrier requirements for shipping firearms, ammunition, and hazardous materials
  • Properly completing all FFL-to-FFL transfer documentation
  • Ensuring the receiving FFL conducts all required background checks before releasing the firearm to the Consumer

3.4 Consumer Disputes and Customer Service

You are solely responsible for:

  • All customer service inquiries related to orders placed through your Storefront
  • Processing refunds, returns, exchanges, and cancellations
  • Resolving Consumer complaints and disputes
  • Handling product warranty claims
  • Responding to payment disputes and chargebacks on your Authorize.net merchant account
  • Maintaining adequate customer service contact information accessible to Consumers through your Storefront

3.5 Storefront Content Responsibility

You are solely responsible for all Storefront Content, including Distributor Inventory that is automatically displayed. Even though Distributor Inventory is auto-populated by ArmoryFlow's technology, you assume full responsibility for its display because:

  • You choose to activate the Storefront feature and connect to distributor integrations
  • You configure the markup percentage, filters, and display settings
  • You have the ability and obligation to review and curate displayed products
  • You can configure filters to exclude categories, manufacturers, or product types
  • The Storefront is branded as your business and represents your dealership to Consumers

4. Payment Processing

Payment processing terms for Storefront transactions are governed by the separate Payment Processing Addendum. By activating your Storefront, you agree to the Payment Processing Addendum in its entirety.

5. Consumer-Facing Terms

ArmoryFlow displays Consumer Storefront Terms to Consumers who access and place orders through your Storefront. These terms establish that:

  • The Consumer's purchase is from you (the FFL dealer), not from ArmoryFlow or Circle Square Inc.
  • You are the merchant of record for all transactions
  • All product warranties, returns, and disputes are between the Consumer and you
  • ArmoryFlow is a technology service provider only

You agree to honor the Consumer Storefront Terms and to not take any action that would contradict or undermine these terms.

6. Custom Domains

If you configure a custom domain for your Storefront, you acknowledge and agree that:

  • You own or have authorization to use the domain name
  • You are responsible for domain registration, renewal, and DNS configuration
  • ArmoryFlow provisions SSL certificates for your custom domain via Cloudflare but does not guarantee uptime or availability of the custom domain
  • Your custom domain storefront is subject to all the same terms as your standard ArmoryFlow storefront URL
  • Any content served through your custom domain is your sole responsibility

7. Indemnification

In addition to the indemnification obligations in the Terms of Service, you agree to indemnify, defend, and hold harmless Circle Square Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • The operation of your Storefront
  • Any transaction between you and any Consumer through your Storefront
  • Any product sold, displayed, or advertised on your Storefront
  • Any violation of federal, state, or local firearms laws arising from your Storefront operations, including but not limited to violations of advertising, display, sale, transfer, or shipping laws
  • Any MAP policy violation displayed on your Storefront
  • Any Consumer complaint, dispute, or claim related to your Storefront
  • Any tax liability arising from transactions on your Storefront
  • Your failure to properly review, filter, or curate Distributor Inventory displayed on your Storefront
  • Any claim arising from your use of a custom domain
  • Any payment processing dispute, chargeback, or fraud claim on your Authorize.net merchant account

8. Limitation of Liability

IN ADDITION TO THE LIMITATIONS IN THE TERMS OF SERVICE, ARMORYFLOW AND CIRCLE SQUARE INC. SHALL HAVE NO LIABILITY WHATSOEVER FOR:

  • ANY INACCURACY, INCOMPLETENESS, OR STALENESS OF DISTRIBUTOR INVENTORY DATA, INCLUDING BUT NOT LIMITED TO PRODUCT DESCRIPTIONS, PRICING, AVAILABILITY, MAP PRICES, OR STATE RESTRICTION DATA
  • ANY VIOLATION OF FEDERAL, STATE, OR LOCAL LAW ARISING FROM THE DISPLAY OR SALE OF PRODUCTS ON YOUR STOREFRONT
  • ANY CONSUMER CLAIM, DISPUTE, OR DAMAGE ARISING FROM A TRANSACTION ON YOUR STOREFRONT
  • ANY LOSS OF MANUFACTURER OR DISTRIBUTOR RELATIONSHIPS, AUTHORIZED DEALER STATUS, OR BUSINESS OPPORTUNITIES ARISING FROM MAP VIOLATIONS OR OTHER PRICING ISSUES ON YOUR STOREFRONT
  • ANY TAX LIABILITY, PENALTY, OR INTEREST ARISING FROM TRANSACTIONS ON YOUR STOREFRONT

9. Storefront Suspension and Termination

In addition to the termination rights in the Terms of Service, we may immediately suspend or disable your Storefront if:

  • We receive notice of any legal action related to your Storefront operations
  • We reasonably believe your Storefront is being used to violate any law
  • Your FFL verification status changes, expires, or is revoked
  • Your Authorize.net merchant account is suspended or terminated
  • We receive a complaint from a distributor, manufacturer, or regulatory authority
  • You fail to respond to Consumer complaints or disputes in a timely manner

10. Representations and Warranties

By activating your Storefront, you represent and warrant that:

  • You hold a valid, current Federal Firearms License and all required state and local licenses
  • You are authorized to conduct firearms commerce in all jurisdictions where your Storefront operates
  • You have reviewed and understand all applicable federal, state, and local firearms laws
  • You will regularly review the products displayed on your Storefront for compliance
  • You will configure appropriate inventory filters for your operating jurisdictions
  • You have the authority to bind your business entity to this Agreement
  • You will maintain adequate customer service capabilities for Storefront orders
  • You will comply with all Authorize.net merchant account terms and PCI requirements

11. General Provisions

11.1 Relationship to Terms of Service

This SOA supplements and is incorporated into the ArmoryFlow Terms of Service. In the event of any conflict between this SOA and the Terms of Service, this SOA shall control with respect to Storefront-related matters.

11.2 Modifications

We may modify this SOA at any time by posting an updated version. Material changes will be communicated with at least 30 days' notice. Your continued operation of a Storefront after changes take effect constitutes acceptance.

11.3 Governing Law and Dispute Resolution

This SOA is governed by the laws of the State of Pennsylvania and is subject to the arbitration and dispute resolution provisions in the Terms of Service.

By activating an ArmoryFlow Storefront, you acknowledge that you have read, understood, and agree to be bound by this Storefront Operator Agreement in addition to the ArmoryFlow Terms of Service, Privacy Policy, and Acceptable Use Policy. If you do not agree to these terms, you must not activate or operate a Storefront.
