Marketplace Terms

These Marketplace Terms apply to marketplace buyers and sellers, including dealers listing on the ArmoryFlow Marketplace.

They should be read with the Terms of Service, Privacy Policy, and Acceptable Use Policy.

1. Acceptance

By accessing or using the ArmoryFlow Marketplace ("Marketplace"), you agree to these Marketplace Terms, the ArmoryFlow Terms of Service, Privacy Policy, and Acceptable Use Policy. If you do not agree, do not use the Marketplace.

2. What the Marketplace is

The Marketplace is a technology platform that helps buyers and sellers discover listings, communicate, make offers, select FFLs, and track deal steps.

ArmoryFlow is not the buyer or seller of firearms on the Marketplace, is not a party to the underlying purchase agreement between users, and is not the merchant of record for Marketplace deals unless expressly stated for a specific ArmoryFlow-sold product, if any.

ArmoryFlow does not guarantee any deal, price, listing accuracy, user identity, or successful transfer.

3. Firearms transfers

All firearm transfers must be completed through a licensed FFL in accordance with federal, state, and local law.

Users must not use the Marketplace to arrange unlawful private transfers, straw purchases, or evasion of background checks.

FFL selection helpers, waiting-period tools, messaging, and deal workflows are conveniences only and are not legal advice.

4. Seller responsibilities

If you list or sell, you represent that:

  • You may lawfully sell the item.
  • Listings are accurate.
  • You will comply with all firearms, advertising, and tax laws.
  • If you are an FFL dealer, you will complete required transfer documentation.
  • You will not list prohibited items under the Acceptable Use Policy.

Dealers also remain bound by the dealer Terms of Service and AUP.

5. Buyer responsibilities

If you buy or make an offer, you represent that:

  • You meet age and eligibility requirements.
  • You are not a prohibited person.
  • You are not engaging in a straw purchase.
  • You will complete transfer through an FFL where required.

6. Offers, deals, and communications

Offers and acceptances are between users. ArmoryFlow may provide structured deal states as a workflow aid.

You are responsible for your messages and for not soliciting unlawful activity.

ArmoryFlow may message FFLs or users about deal status as a convenience. This does not make ArmoryFlow a broker of the firearm.

7. Payments

Unless a specific checkout feature says otherwise, Marketplace deal payments may occur outside ArmoryFlow or through separate tools. If you use ArmoryFlow payment features, the Payment Processing Addendum or Storefront Purchase Terms may also apply, and the merchant of record will be identified in that flow.

8. Fees

ArmoryFlow may charge Marketplace-related fees as disclosed at the time of use. SaaS subscription fees for dealers are separate.

9. Disclaimers

THE MARKETPLACE IS PROVIDED AS IS. ARMORYFLOW DISCLAIMS WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. ARMORYFLOW IS NOT LIABLE FOR USER CONDUCT, FAILED TRANSFERS, BACKGROUND-CHECK DENIALS, LISTING ERRORS, OR DISPUTES BETWEEN USERS.

10. Indemnification

You will indemnify Circle Square Inc. and ArmoryFlow from claims arising from your Marketplace use, listings, offers, messages, or alleged violation of firearms or other laws.

11. Suspension

We may suspend or terminate Marketplace access for Acceptable Use Policy violations, fraud, illegal activity, or risk to users or ArmoryFlow.

12. Governing law

Pennsylvania law applies, and dispute resolution follows the Terms of Service, subject to any non-waivable consumer rights.
